Terms of Service

First draft — not yet finalized · October 14, 2026
Version 2026-10-14-draft-1

Draft for review. Before publication, confirm the business mailing address, activate the proposed contact email, set an effective date, publish a privacy notice, and obtain legal review. This draft does not have an effective date.

1. Your agreement with us

These Terms govern your use of Graphite 4D, including our hosted architectural design application, collaboration features, APIs, integrations, and related services (the Service). The Service is provided by Point Line Plane LLC, a company located in Maryland, United States (Graphite 4D, we, us). Contact us at support@plp3d.com [proposed; activate before publication].

By selecting “I agree to the Terms of Service,” you agree to these Terms. If you do not agree, do not use the Service. You must be at least 18 years old and legally able to enter into this agreement. If you purchase or administer the Service for an organization, you represent that you have authority to bind that organization to its purchase and use of the Service. Each individual user must also accept these Terms.

2. Accounts and workspaces

Provide accurate account information, protect your sign-in credentials, and promptly report suspected unauthorized access. Do not share an individual account. You are responsible for activity you authorize through your account, including connected clients and agents.

Workspace owners and administrators control membership, roles, paid seats, and access to workspace content. Content you contribute to an organization’s workspace may remain accessible to that organization after you leave. Obtain permission before uploading another person’s confidential information or intellectual property. An invitation, paid seat, or administrator’s approval does not replace your own agreement to these Terms.

3. Access and product changes

Subject to these Terms and any applicable subscription, we grant you a limited, non-exclusive right to use the Service for your personal or internal business purposes. We retain ownership of the Service, its software, branding, and documentation, except for your content and third-party materials.

Graphite 4D is an evolving product. Preview and experimental features may change, contain errors, or become unavailable. We may update the Service and its technical limits. A subscription does not promise a particular future feature, integration, uptime level, or support response time unless a separate written agreement says otherwise. We will give reasonable advance notice of material reductions to a paid service where practicable.

4. Paid seats, renewal, and cancellation

Paid editing access is sold as named seats. The purchase screen states the quantity, currency, monthly rate, applicable tax, and any amount due immediately. By confirming a purchase, you authorize those charges and recurring monthly charges to your chosen payment method until canceled. You must have authority to purchase for the selected workspace. Free access does not include a paid editing seat.

Each purchase locks the monthly base rate for those seats while they remain continuously subscribed. Adding seats uses the rate quoted for the additional purchase and does not reprice existing seats. Reassigning a paid seat within a workspace preserves its rate. Cancellation or removal of seats ends the rate lock for those seats. Future changes to the published pricing curve apply to new seats, not continuously subscribed seats with a locked rate. Taxes and separately disclosed usage charges are not part of the base-rate lock.

Additional seats may incur a prorated charge through the current billing period; review the amount shown before confirming. Seat reductions take effect as shown in the confirmation. Manage payments, invoices, and cancellation through Subscription & seats. Cancel before renewal to avoid the next recurring charge; cancellation normally takes effect at the end of the paid period. Signing out, uninstalling the app, or removing a workspace member does not cancel a subscription.

Except where required by law or expressly agreed by us, fees already paid are non-refundable and unused time is not credited. Mandatory refund, withdrawal, and cancellation rights remain unaffected. We may restrict paid features for failed or overdue payment. Separate third-party provider charges, including charges under your own API credentials, are your responsibility. We will disclose any separately billed Graphite 4D usage before you incur it.

5. Your designs and other content

As between you and Graphite 4D, you retain ownership of the models, drawings, files, prompts, and other material you submit, and any rights you have in outputs. These Terms do not transfer ownership of your designs to us. You are responsible for having the rights needed to submit, process, and share your content.

You grant us a limited license to host, copy, process, transmit, and display your content as needed to provide, secure, maintain, and support the Service, including sharing with collaborators and third-party services you choose to use. This license does not authorize us to publish private projects for advertising. It lasts only as needed for those purposes, subject to backups, retention obligations, and content legitimately retained by your workspace or collaborators.

Keep independent copies of important work and verify exported files. Storage, export formats, and integrations have limits; the Service is not a substitute for your own backup and records practices.

6. Professional review and AI-assisted work

Graphite 4D is a design tool, not a licensed architect, engineer, surveyor, code official, or construction professional. Models, measurements, quantities, analyses, maps, drawings, AI suggestions, and exported files may be incomplete or inaccurate. AI outputs may not be unique and may contain errors or material subject to third-party rights.

You must independently review outputs and obtain appropriate professional review before relying on them for permits, fabrication, procurement, construction, structural or life-safety decisions, accessibility, or code compliance. You remain responsible for design decisions, site verification, and compliance with applicable standards. Do not represent an automated result as a professional certification.

7. Third-party services and data

Optional AI providers, map and imagery services, identity and payment providers, and design-platform integrations may process information to provide their features. Connecting a service or enabling an agent authorizes the access and actions you approve. Review its permissions and applicable terms before use; disconnect access you no longer need.

Third-party software, datasets, imagery, and imported files remain subject to their own licenses and attribution requirements. A Graphite 4D subscription does not grant additional rights to redistribute or commercially exploit third-party content. Integration availability and third-party formats may change.

8. Acceptable use

Do not use the Service unlawfully, infringe others’ rights, upload malicious code, attempt unauthorized access, interfere with security or availability, evade billing or usage limits, or use another person’s credentials without permission. Do not scrape private content or use the Service to distribute abusive or unlawful material.

Do not reverse engineer or circumvent technical protections except where applicable law permits it. Responsible security research must respect other users’ data and avoid disruption; report vulnerabilities to support@plp3d.com [proposed; activate before publication]. We may investigate misuse and restrict activity reasonably necessary to protect users and the Service.

9. Privacy and confidentiality

Our Privacy Notice [PRIVACY NOTICE URL — TO BE CONFIRMED] will describe how we collect, use, retain, and disclose personal information. Agreement to these Terms is separate from any optional marketing consent or other consent required by law.

Use access controls appropriate to your information and only submit data you are authorized to process with the Service and its selected providers. If your organization requires a data processing agreement or special security, retention, or confidentiality commitments, agree those with us in writing before submitting that information.

10. Suspension, termination, and data

You may stop using the Service, cancel subscriptions, and request account closure through the app. Account closure and subscription cancellation are distinct actions; resolve active subscriptions and workspace responsibilities as directed before closing your account. Export information you wish to keep before closure.

We may suspend or terminate access for a material breach of these Terms, non-payment, a legal requirement, or a serious security risk. Where reasonable, we will explain the issue and allow an opportunity to fix it. Immediate action may be necessary to protect the Service or others. If we discontinue a prepaid paid service for reasons other than your breach, we will refund the unused prepaid portion.

Following termination, access may end and content may be deleted under our disclosed retention practices and applicable law. Content retained in an organization’s workspace is controlled by that organization. Provisions that by their nature should survive termination, including accrued payment obligations, ownership, limitations of liability, and dispute provisions, survive.

11. Warranties and disclaimers

To the extent permitted by law, the Service is provided “as is” and “as available.” We do not warrant that it will be uninterrupted, error-free, secure in every circumstance, or suitable for a particular project. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law. Nothing in these Terms excludes statutory warranties or rights that cannot lawfully be excluded.

12. Limits on liability

To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or business opportunities arising from these Terms or the Service.

To the extent permitted by law, our aggregate liability arising from these Terms or the Service is limited to the greater of US $100 or the fees you or your organization paid us for the affected Service during the 12 months before the event giving rise to the claim. These limits do not apply to fraud, willful misconduct, death or personal injury caused by negligence, or any liability that cannot legally be limited. Mandatory consumer protections remain unaffected.

13. Disputes and governing law

Please contact support@plp3d.com [proposed; activate before publication] with a description of any dispute so we can try to resolve it informally. This does not prevent either party from seeking urgent relief or exercising mandatory legal rights.

Subject to mandatory local law and consumer rights, these Terms will be governed by the laws of the State of Maryland, United States, without regard to conflict-of-law rules, and disputes will be brought in the courts of Maryland, United States. This draft does not include mandatory arbitration or a class-action waiver.

14. Changes to these Terms

We will publish revised Terms with a version and effective date and give reasonable advance notice of material changes, except where urgent legal or security needs require a shorter period. We will request renewed agreement before you continue using the Service under a materially revised agreement. A prior acceptance does not count as acceptance of a new version.

If you do not agree to revised Terms, stop using the Service. You can still access subscription cancellation and account closure options. Changes do not retroactively alter a purchase’s locked base seat rate or remove accrued rights.

15. General terms and contact

These Terms and the purchase details you confirm form the agreement for the Service, unless a separate written agreement with us expressly takes precedence. If a provision is unenforceable, the remaining provisions continue to apply. A delay in enforcing a provision is not a waiver. Neither party may assign this agreement without the other’s consent, except as part of a merger, reorganization, or sale of substantially all relevant assets, subject to applicable law and protection of your rights.
